AI Rule Engine Terms of Service

Effective Date: October 23, 2025

By accessing or using the AI Rule Engine website (“Website”) or product (“Product”), including by creating a new Project or deploying a managed application, you (“Customer”, “You”) acknowledge that you have read, understood, and agree to be bound by this Terms of Service Agreement (“Agreement”).

1. Parties and Scope

This Agreement is between TechGroups LLC, a Wisconsin limited liability company (“Company”, “We”, “Us”), and you, the entity or individual using the Website or Product. The AI Rule Engine provides an automation and rules management platform deployable within your own Microsoft Azure® environment (“Environment”).

2. Use of the Website and Product

A. Eligibility

You must be at least 18 years old or have reached the age of majority in your jurisdiction to use our Website and Product. By using our services, you represent and warrant that you meet these requirements.

B. License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Website and Product for your internal business purposes, subject to this Agreement. You may deploy and operate the Product in your own Azure subscription during your active subscription term.

C. Restrictions

  • Do not use the Website or Product for any unlawful purpose.
  • Do not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.
  • Do not reverse engineer, decompile, or attempt to extract the source code of the Product.
  • Do not interfere with or disrupt the integrity or performance of the Website or Product.

3. Customer Responsibilities

  • Maintain the confidentiality of your account credentials.
  • Ensure that your use of the Website and Product complies with all applicable laws and regulations.
  • Provide accurate, current, and complete information when required.
  • Be solely responsible for provisioning, maintaining, and securing your Azure subscription and for all associated compute, storage, and network costs.
  • Acknowledge that misconfigured or inefficient workflows may cause unexpected or excessive Azure charges, for which the Company is not responsible.
  • Be responsible for all workflows, actions, and automation outcomes created using the Product.

4. Product-Specific Terms

A. Managed Application

The AI Rule Engine is a managed application hosted in your own cloud environment. Company may access your Environment solely for maintenance or support purposes and only with your authorization. You may uninstall the Product at any time by deleting the Azure Managed Resource Group associated with your Environment. Deletion immediately halts operation and prevents further Azure costs for that Environment, but you remain responsible for all costs accrued up to deletion.

B. Customer Data

You retain all rights to your data processed through the Product. We do not claim ownership of your data and will only access it as necessary to provide maintenance and support services.

5. Intellectual Property

All content, trademarks, logos, and intellectual property related to the Website and Product are owned by or licensed to Company. You may not use our intellectual property without prior written consent. Deployment within your Azure subscription does not transfer ownership or any intellectual property rights.

6. Support and Maintenance Access

Company may, when authorized, connect to, read, update, or delete resources within Managed Resource Groups as necessary to provide maintenance or technical support. Support is provided on an as-available basis without guaranteed response or resolution times.

7. Disclaimers and Limitation of Liability

A. Disclaimers

The Website and Product are provided “AS IS” and “AS AVAILABLE.” Company makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

B. Risk Acknowledgment

  • Automated workflows may execute actions that modify or delete resources or data; you bear full responsibility for their outcomes.
  • Company is not liable for Azure or third-party service failures, cost changes, or API modifications.
  • No performance or business results are guaranteed.

C. Limitation of Liability

To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenues, even if advised of their possibility. Company's total liability shall not exceed the amount you paid for the Product during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless TechGroups LLC, AI Rule Engine, its affiliates, officers, agents, and employees from any claims, liabilities, damages, and expenses arising out of your use of the Website or Product, your violation of this Agreement, or your infringement of any intellectual property or other rights.

9. Modifications to the Terms

We may update these Terms from time to time. We will notify you of any changes by posting the updated Terms on our Website with the new effective date. Your continued use of the Website or Product after such changes constitutes your acceptance of the updated Terms.

10. Confidentiality and Privacy

Each party agrees to protect the other's Confidential Information using reasonable care and not to disclose it except as authorized or required by law. Your Customer Content remains yours. Company uses it only as needed to operate and support the Service. Our Privacy Policy is available at https://www.ruleengine.ai/privacy.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, USA, without regard to its conflict-of-law principles.

A. Binding Arbitration

Any dispute or claim arising out of or relating to this Agreement shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Eau Claire, Wisconsin, in English, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction.

B. Waiver of Class Actions

You and Company agree that any proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial or to participate in a class action.

12. Miscellaneous

  • Governing Law & Venue: Eau Claire County, Wisconsin courts (subject to arbitration) shall have exclusive jurisdiction for judicial proceedings.
  • Entire Agreement: This Agreement constitutes the entire understanding between you and Company regarding the Website and Product.
  • Severability & Waiver: If any provision is unenforceable, the remainder remains effective. Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign or transfer your rights or obligations without prior written consent from Company.

13. Extensions and User-Contributed Content

The AI Rule Engine allows users to create, publish, and share custom extensions, integrations, or modules (“Extensions”) that may be used by other users within the platform.

A. User Responsibilities

  • You must accurately describe the functionality and behavior of any Extension you develop or publish.
  • You must not design, distribute, or use an Extension in a manner that is deceptive, fraudulent, or misleading to other users.
  • You must not create Extensions that intentionally or negligently cause harm, excessive resource consumption, denial-of-service conditions, or other detrimental effects on any system or user environment.
  • You are solely responsible for all actions, outcomes, or costs arising from your Extensions, including but not limited to compute, storage, or network charges incurred by others who use them.

B. Prohibited Conduct

  • Creating Extensions that execute unintended, undisclosed, or malicious actions.
  • Falsely representing the purpose, source, or function of an Extension.
  • Embedding self-replicating, recursive, or infinite execution logic for the purpose of inflating usage or costs.
  • Collecting or transmitting data from other users without explicit consent.

C. Company Rights

  • TechGroups LLC reserves the right, at its sole discretion, to review, disable, or remove any Extension that it believes violates these Terms, poses security risks, or could harm other users or systems.
  • Company may, but is not obligated to, monitor or audit Extensions for compliance.
  • Company disclaims all responsibility and liability for Extensions created by users or third parties.

D. Indemnification

You agree to indemnify and hold harmless TechGroups LLC and its affiliates from any claims, damages, losses, or costs arising from or relating to any Extension you develop, distribute, or use.

E. Licensing and Ownership of Extensions

By creating, publishing, or sharing any Extension through the AI Rule Engine platform, you acknowledge and agree that:

  • You do not obtain or retain any proprietary or exclusive rights to the Extension or its underlying code, logic, or design when published or shared within the platform.
  • By publishing or making an Extension available to others, you grant TechGroups LLC and all other users of the AI Rule Engine a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and irrevocable license to use, copy, modify, remix, adapt, distribute, and create derivative works of the Extension for any lawful purpose within the platform.
  • Extensions published to the platform are not confidential and may be remixed, forked, or otherwise modified by other users without notice or attribution.
  • You waive any claims for ownership, authorship credit, or compensation arising from the use, modification, or distribution of your Extension by others.
  • TechGroups LLC retains all intellectual property rights in and to the AI Rule Engine platform itself, including any derivative or collective works that incorporate user Extensions.
